Virtual Interior Design Service Agreement

This Interior Design Service Agreement (hereinafter referred to as the "Agreement") is made and entered into by and between the Client (Full Name noted under the Signature), and Parkway Creative Studio (hereinafter also referred to as the "Designer"), Interior Design and Architectural Drafting Business located at St. Philip, Barbados.

The purpose of this Interior Design Service Agreement is to outline the business practices of Parkway Creative Studio. The approval of the Virtual Interior Design Service Agreement, payment of the service in full and the signature of the Client confirming the Scope of Work on the Client Confirmation Form will initiate the start of the project.

SERVICES
1.1 Parkway Creative Studio agrees to provide virtual interior design services as specifically outlined during the Design Consultation Call, which will be submitted to the client for approval and signature at the end of the Design Consultation Call by means of the Client Confirmation Form. Parkway Creative Studio will perform these services in a professional, competent, and timely manner.

FEES AND PAYMENT TERMS
2.1 The Client, by entering into this contract with Parkway Creative Studio, acknowledges and agrees to remit the full fees in accordance with the selected virtual interior design package as specified. To complete the transaction, two payments will be required. The initial payment, totaling a fixed amount of $100.00 USD, shall be securely processed through an online payment platform. Following the Design Consultation Call, the Client will be invoiced for the outstanding balance of the package price. It is expected that the Client will promptly make full payment upon receipt of the invoice.

2.2 Prior to the initiation of the Design Consultation Call, clients retain the right to receive a complete refund of the payment made for the fixed amount. However, upon commencement of the Design Consultation Call, all payments made by the clients shall become non-refundable.

This refund policy shall remain in effect throughout the duration of the contract and shall survive the termination or expiration of the contract for any reason.

CLIENT RESPONSIBILITIES
3.1 The Client shall be responsible for promptly providing all necessary information and materials as requested by Parkway Creative Studio for the timely completion of the project. Any delays in providing these materials may result in project delays for which Parkway Creative Studio shall not be held liable.

By proceeding with our Virtual Interior Design services, the Client acknowledges and agrees that they are solely responsible for the installation of all recommended design elements. Furthermore, the Client confirms that they have read and agreed to the points specified in the Disclaimer section available on the Parkway Creative website.

CONFIDENTIALITY
4.1 Both the Client and Parkway Creative Studio agree to maintain in strict confidence all confidential information pertaining to the services, design, proprietary information, and any other information deemed confidential. This clause remains in effect even after the termination of this Agreement.

OWNERSHIP AND COPYRIGHT
5.1 All digital designs and concepts are the property of Parkway Creative Studio until the final Parkway Creative Studio/Client Handover. Upon receipt, the Client will receive the rights to use the final designs as agreed upon. Parkway Creative Studio reserves the right to use any designs as part of portfolios, websites, in galleries, and in other media as well as in promotional and marketing materials for Parkway Creative Studio.

TERMINATION
6.1 In the event that clients wish to terminate the virtual design services before the commencement of the Design Consultation Call, they must submit a written refund request to Parkway Creative Studio and the deposit of $100.00 USD will be refunded.

6.2 Termination of this agreement may also occur verbally during the Design Consultation Call. If both the Client and the Designer mutually agree to amicably end the design services, such agreement shall be confirmed in writing by the Designer. The payment of the deposit made by the client shall be non-refundable upon commencement of the Design Consultation Call.

FORFEITURE OF NON-REFUNDABLE PAYMENT
7.1 In the event of cancellation of the project by the Client or by the Designer, after full payment of the non-refundable fee, the Client acknowledges and agrees that the non-refundable payment previously made in full shall be forfeited to Parkway Creative Studio. The Client further agrees that the forfeited payment represents reasonable compensation for the time, resources, and opportunity costs incurred by Parkway Creative Studio in anticipation of providing the agreed-upon services. This forfeiture clause shall be enforceable to the fullest extent permitted by the laws in the country of Barbados.

INDEMNIFICATION
8.1 Both parties agree to indemnify and hold harmless the other party, its employees, and agents against any claims, damages, or costs incurred related to the services provided under this Agreement.

GOVERNING LAW
9.1 This Agreement will be governed in accordance with the laws of the country of Barbados. Any disputes arising from this Agreement will be resolved in the jurisdiction of Barbados.

ENTIRE AGREEMENT
10.1 This Agreement contains the entire agreement and understanding between the parties and supersedes all prior conversations, discussions, agreements, and understandings relating to the subject matter of this Agreement. All contractual clauses noted in this agreement shall remain in effect throughout the duration of the contract and shall survive the termination or expiration of the contract for any reason.
